Terms of Service

These Terms of Service (“Terms”) govern access to Ektra Analytics and related websites, applications, APIs, AI features, MCP tools, integrations, and services (collectively, the “Service”). The Service is provided by Ektra Solutions OÜ (“Ektra,” “we,” “us”).

By creating an account, accepting an invitation, connecting a store or advertising account, or using the Service, you agree to these Terms on behalf of yourself and the organization you represent.

• You must be at least 18 years old and able to form a binding contract.
• You must provide accurate account information and keep your login credentials secure.
• If you create or administer an organization in Ektra, you are responsible for managing users, roles, permissions, connected integrations, and billing for that organization.
• You are responsible for activity that occurs through your account or organization, except to the extent caused by Ektra's breach of these Terms.

Ektra helps ecommerce operators understand profitability by combining commerce, advertising, product, stock, expense, and user-entered business data. Dashboards, reports, AI responses, exports, forecasts, and recommendations are informational tools. They are not accounting, tax, legal, investment, or financial advice.

You are responsible for reviewing outputs before relying on them and for keeping source data, costs, rules, and integrations accurate.

You retain ownership of the data you or your authorized platforms submit to Ektra (“Customer Data”). You grant Ektra a limited right to process Customer Data to provide, secure, support, and improve the Service, comply with law, and enforce these Terms.

You represent that you have the rights, consents, notices, and permissions needed to connect stores, ad accounts, and other data sources to Ektra and to allow us to process that data under these Terms and our Privacy Policy.

The Service may connect to third-party platforms such as Shopify, Meta, Google Ads, TikTok, Supabase, OpenAI, and other services. Your use of third-party platforms remains governed by their own terms and policies. Ektra is not responsible for third-party platform downtime, data delays, API changes, account restrictions, or actions taken by those providers.

You may disconnect integrations at any time, subject to any retention requirements described in our Privacy Policy or required by law.

Ektra may include AI chat, tool calling, MCP access, forecasts, classification, matching, and recommendations. AI and automated outputs can be incomplete, stale, or incorrect. You should independently verify important results before making business decisions.

You may not use Ektra's AI or API features to extract data you are not authorized to access, probe system prompts or credentials, generate unlawful content, or bypass usage limits and security controls.

You agree not to:

• Use the Service unlawfully or in violation of third-party rights.
• Interfere with, disrupt, overload, scan, or attack the Service or its infrastructure.
• Reverse engineer the Service except where law expressly permits it.
• Share credentials, bypass authentication, or access another organization's data.
• Upload malware or content that is fraudulent, defamatory, infringing, or harmful.
• Resell, sublicense, or provide the Service to third parties without our written consent.

Paid plans, trials, invoices, taxes, renewal terms, and cancellation rules are presented at checkout or in a separate order form. Unless stated otherwise, subscriptions renew automatically until cancelled. Fees are non-refundable except where required by law or expressly stated in an order form.

We may suspend or limit access for overdue payments after reasonable notice. You remain responsible for taxes, duties, and similar charges, excluding taxes on Ektra's income.

Each party may receive non-public information from the other. The receiving party will use reasonable care to protect that information and will use it only for purposes allowed by these Terms. Confidentiality obligations do not apply to information that is public, independently developed, lawfully received from another source, or required to be disclosed by law.

Ektra and its licensors own the Service, including software, designs, documentation, models, workflows, and trademarks. These Terms do not transfer ownership of Ektra technology to you. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business operations.

If you send feedback, suggestions, or ideas, you allow us to use them without restriction or compensation.

Our Privacy Policy explains how we collect, use, retain, and protect personal data. We use reasonable technical and organizational safeguards designed to protect Customer Data, but no online service is completely secure.

We may modify, add, or remove features, integrations, limits, and platform support over time. We aim to provide reliable service but do not guarantee uninterrupted availability. We may perform maintenance, respond to incidents, or suspend access when needed to protect users, data, or the Service.

You may stop using Ektra or cancel your organization's subscription according to your plan terms. We may suspend or terminate access if you materially breach these Terms, create security or legal risk, fail to pay fees, or use the Service in a way that may harm Ektra, users, or third parties.

After termination, sections that by their nature should survive will continue to apply, including payment obligations, confidentiality, intellectual property, disclaimers, liability limits, and dispute terms.

The Service is provided “as is” and “as available.” To the maximum extent permitted by law, Ektra disclaims implied warranties, including warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy of analytics, forecasts, or AI outputs.

To the maximum extent permitted by law, Ektra will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, or business interruption. Ektra's total liability for claims arising out of or relating to the Service is limited to the amounts paid by your organization to Ektra for the Service in the 12 months before the event giving rise to the claim.

You will defend and indemnify Ektra against claims, damages, liabilities, costs, and expenses arising from your Customer Data, your use of the Service, your integrations, your breach of these Terms, or your violation of law or third-party rights.

These Terms are governed by the laws of Estonia, excluding conflict-of-law rules. Courts in Estonia will have exclusive jurisdiction, except where applicable consumer or data protection law requires otherwise.

We may update these Terms from time to time. Material changes will be communicated by email or in-product notice at least 30 days before they take effect, unless changes are required sooner for legal, security, or operational reasons. Continued use of the Service after the effective date means you accept the updated Terms.
